Terms and Conditions

These Terms & Conditions govern the sale of products and services by Sakthi Controller (OPC) Pvt Ltd (“Sakthi”, “we”, “our”, or “us”) to customers (“Customer”, “you”, or “your”). By placing an order through our website or by any other purchasing method, you agree to the terms outlined below.

1. Acceptance & Cancellation of Orders

All orders are subject to acceptance by Sakthi. An order confirmation or acknowledgement does not constitute final acceptance.

We reserve the right to:

  • Accept or reject any order at our discretion.
  • Limit quantities of products sold.
  • Modify product availability and specifications without prior notice.

Orders for customized, made-to-order, special-order, or non-standard products are considered Non-Cancelable and Non-Returnable (NC/NR).

Cancellation requests may be accepted only before shipment and subject to approval by Sakthi. Cancellation or restocking charges may apply depending on the order status and expenses incurred.

Orders cannot be cancelled or rescheduled once shipped.

Returns

Customers must notify Sakthi within 30 days of shipment regarding defective or incorrect products.

  • Return requests require prior approval.
  • Customers are responsible for return shipping charges unless otherwise agreed.
  • COD returns will not be accepted.
  • Some products may need to be returned directly to the manufacturer.
  • Products classified as NC/NR are not eligible for return.

Counterfeit Product Prevention

Only products originally supplied by Sakthi may be returned. By returning a product, the customer confirms that the item was purchased directly from Sakthi without substitution or modification.

Returned items must:

  • Be in original packaging.
  • Be unused except for verified defective products.
  • Be properly handled in case of ESD-sensitive components.

2. Pricing

All prices are subject to change without prior notice.

  • Orders are billed at the price applicable at the time of shipment.
  • Quoted prices remain valid only for the period specified in the quotation.
  • If no validity period is mentioned, quotations remain valid for 30 days.
  • Taxes, shipping charges, duties, banking fees, and other applicable charges are additional unless stated otherwise.

If quantity-based pricing applies and the required quantity is not purchased, standard pricing or restocking fees may apply.

3. Payment Terms

All payments must be made in the currency specified on the invoice.

Accepted payment methods may include:

  • Credit Cards
  • Debit Cards
  • Net Banking
  • Wire Transfer / EFT
  • UPI and other approved payment methods

Orders may be subject to payment verification and credit approval before shipment.

Wire Transfer / EFT Orders

  • Stock may be reserved for a limited period awaiting payment.
  • Orders may be cancelled if payment is not received within the specified timeframe.
  • Customers are responsible for applicable taxes, duties, and transfer charges.

Outstanding Payments

Sakthi reserves the right to:

  • Suspend or cancel pending orders for overdue accounts.
  • Request advance payment before shipment.
  • Recover legal and collection expenses for unpaid invoices.

Returned cheque transactions may attract additional service charges.

4. Taxes & Duties

Domestic Orders (India)

Applicable GST and other taxes will be charged as per Indian law unless valid tax exemption documents are provided.

International Orders

Customers are responsible for:

  • Import duties
  • VAT/GST
  • Brokerage charges
  • Customs clearance fees
  • Any country-specific taxes

5. Shipping, Delivery & Title Transfer

Shipping timelines are estimates only and are not guaranteed.

  • Risk of loss and ownership transfer to the customer upon shipment.
  • Delivery delays do not entitle customers to cancel other pending shipments.
  • Sakthi may ship orders in multiple installments.
  • Customers are responsible for shipping and transportation charges unless otherwise agreed.

6. Limited Warranty

Sakthi transfers only the warranty provided by the original manufacturer wherever applicable.

Except where explicitly stated:

  • No additional warranty is provided by Sakthi.
  • No guarantee is provided regarding fitness for a particular purpose.
  • Warranty does not cover misuse, static damage, soldering damage, modifications, accidents, or improper handling.

Warranty support may be limited to:

  • Repair
  • Replacement
  • Refund of the purchase price

Certain products including ICs, GSM modules, GPS modules, and development boards may have limited or no warranty coverage.

7. RoHS & Lead-Free Compliance

RoHS or Lead-Free declarations are based solely on information provided by manufacturers or suppliers.Sakthi does not independently test products for RoHS compliance and makes no separate compliance warranty.

WEEE Policy

Sakthi does not operate a WEEE recycling program within the European Union.

Country of Origin

Country of origin information may be provided upon request when available from manufacturers.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Sakthi shall not be liable for indirect, incidental, special, or consequential damages.
  • Liability shall not exceed the purchase value of the product involved.
  • Sakthi is not responsible for loss of profits, downtime, data loss, or business interruption.

Customers agree to indemnify and hold Sakthi harmless from claims arising from the integration or use of products in customer systems or applications.

9. Product Safety & Usage Restrictions

Products sold by Sakthi are intended primarily for commercial, educational, research, prototyping, and industrial applications.Unless explicitly specified, products are not designed for:

  • Life-support systems
  • Medical implants
  • Nuclear facilities
  • Aircraft or flight control systems
  • Military-certified applications
  • Safety-critical environments

Customers assume full responsibility for evaluating product suitability for their applications.

10. Technical Support & Advice

Any technical guidance, recommendations, or support provided by Sakthi is offered as a courtesy without additional liability.

Sakthi does not perform:

  • Engineering validation
  • Product suitability analysis
  • Safety certification
  • Compliance testing for customer designs

11. Non-Cancelable / Non-Returnable (NC/NR) Products

Certain products may be marked as:

  • Non-Cancelable
  • Non-Returnable
  • Special Order
  • Custom Order

Such products cannot be cancelled, returned, exchanged, or rescheduled once ordered unless approved in writing by Sakthi and the supplier.

12. Intellectual Property

Software, firmware, documentation, and other intellectual property supplied with products remain subject to their respective licenses and copyrights.

Nothing in these terms grants ownership or additional usage rights beyond the original license agreement.

13. Force Majeure

Sakthi shall not be liable for delays or failure to perform due to causes beyond reasonable control, including but not limited to:

  • Natural disasters
  • Government restrictions
  • War or terrorism
  • Labor disputes
  • Transportation delays
  • Supply shortages
  • Pandemics or epidemics
  • Technical or infrastructure failures

14. Compliance With Laws

Customers agree to comply with all applicable laws, regulations, and rules related to the purchase and use of products sold by Sakthi Controller (OPC) Pvt Ltd.

Sakthi Controller (OPC) Pvt Ltd reserves the right to refuse or cancel any order if required by applicable laws or regulations.

15. General Terms

  • These Terms & Conditions constitute the complete agreement between Sakthi Controller (OPC) Pvt Ltd and the customer regarding the purchase and use of products and services.
  • No modification, amendment, or waiver of these Terms & Conditions shall be valid unless approved in writing by Sakthi Controller (OPC) Pvt Ltd.
  • If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
  • Failure by Sakthi Controller (OPC) Pvt Ltd to enforce any provision or right under these Terms shall not constitute a waiver of such rights.
  • These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.
  • Any disputes, legal proceedings, or claims arising out of purchases, services, transactions, or the use of this website shall be subject exclusively to the jurisdiction of the courts located in Vellore, Tamil Nadu, India.
  • Sakthi Controller (OPC) Pvt Ltd currently supports both domestic and international customers. International orders, shipments, and exports are subject to applicable export regulations, customs requirements, shipping availability, and local import laws of the destination country.
